BY DOWNLOADING/INSTALLING AND/OR USING THE APPLICATION, YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT THAT YOU ARE 18 YEARS OF AGE OR OLDER; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE APPLICATION AND DELETE IT FROM YOUR MOBILE DEVICE.

THESE TERMS INCLUDE, AMONG OTHER THINGS, YOUR AUTHORIZATION FOR DEBITS AND CREDITS FROM AND TO YOUR BANK ACCOUNT (AS DEFINED BELOW) VIA THE AUTOMATED CLEARINGHOUSE NETWORK ("ACH").

Definitions

A. “Nav.it” is owned by Nav.it, Inc. (“Nav.it”), a Washington State Corporation  “We,” “Nav.it,” and “Nav.it” may be used interchangeably on this site and on products and services offered on this site, and are used to indicate the company, owners, parent company, and/or agents of the company, Nav.it, Inc.

B. “Nav.it” and the associated logo are trademarks owned by Nav.it. All associated content is copyrighted content owned by Nav.it.

C. “Parties” mean Nav.it and You. Nav.it and You are each a “Party.”

D. “Terms” mean and refer to the Terms of Use set forth herein.

E. “You” and “Your” means any person interacting with Nav.it Application, purchasing products on Nav.it, and accessing Nav.it content.

PRIVACY POLICY

Please refer to the Nav.it’s Privacy Policy ( found here) which explains how we collect, use, and disclose information that pertains to your privacy.  When you access or use Nav.it, you signify your agreement to this Privacy Policy.

NAV.IT LICENSE GRANT  – WHAT CAN YOU DO HERE?

By downloading and using this Application, Nav.it grants you a limited, non-exclusive, non-transferable license to our Application in order for you to:

• download, install, and use the Application for your personal, non-commercial use on a single mobile device owned and/or controlled by you;
• access and interact with all of our amazing content created by our team, influencers that we think are great, and users like you who are living awesome lives and sharing it with the Nav.it Community;
• share your goals and dreams with the Nav.it Community;
• link your financial accounts or other social accounts so that we can better help you reach your goals and provide you with tools and strategies; and
• use those linked financial accounts to transfer money into savings accounts so that you can easily see how well you’re doing at saving for those goals;
• set up a Nav.it savings account, so that you can transfer your hard-earned cash into and out of that account and hold onto it, so you don’t spend it.

Further information about what you can and cannot do with the content you submit to us and share with the community is below.  

We use third parties to aggregate the information from and access your bank accounts. We use the following company to facilitate this process and create a seamless experience for you: Plaid. We can only access the accounts that you provide us access to or that you create through Nav.it.

We us third parties to facilitate the transfer of money. Nav.it is not a money transmitter business.  We use the following company to facilitate ACH processing: Core-Pro. Transfers typically take between 3-5 days to complete.

We also are not a bank. We partner with a third-party FDIC-insured bank, nbkc Bank, to facilitate the deposits of users savings goals. Deposits are held in a pooled account.

We’re all about both you and our company being financially empowered and transparent. We charge a subscription fee for premium access. If you are charged any other fees at any point, we will disclose those to you, where and if applicable, at the time of the transaction.

Just remember, that we are NOT your financial advisors, tax advisors, or legal advisors by simply accessing this site.  Everything that you read or interact with on the site is for informational purposes only and you should contact a professional before taking action and to answer your questions.

REQUIREMENTS FOR USE

In order to maintain and continue to use the application:

• You can only use the application for non-commercial, legal purposes;
• You must provide us with (and update us should anything change) accurate information about who you are and how to contact you;
• You must be of legal age, have parental permission, and be a legal resident or citizen of the United States;
• You must provide us with payment, if you are premium subscriber, to maintain the subscription or account level necessary; and
• You must provide us with the necessary documentation to open and maintain a bank account;

If we suspect that you are misusing the app, if you fail to provide any necessary information or payments, or we find that you are using the app for commercial purposes, we reserve the right to cancel your account.

DEPOSIT NETWORK SERVICE ACKNOWLEDGEMENT

By utilizing the services, your beneficial funds may be held at nbkc bank in an omnibus custodial account (“Omnibus Account”). In its ordinary course of business, nbkc bank may utilize a “Deposit Network Service” to deposit funds from the Omnibus Account into other FDIC insured banks (“Network Banks”). In the event funds from the Omnibus Account are deposited into Network Banks via the Deposit Network Service, nbkc bank will deliver funds to a custody bank (“Custodian Bank”) participating in the Deposit Network Service. In the event any of your beneficial funds from the Omnibus Account arrive at a Network Bank through a Deposit Network Service, they may be eligible for FDIC insurance, however, in the event you or nbkc bank have funds, either directly or indirectly, at any of the Network Banks, such deposit insurance coverage may be adversely affected, and the principal and any accrued interest may not benefit from FDIC insurance, even if the total amount deposited in that Network Bank through the Deposit Network Service is less than the Standard Maximum Deposit Insurance Amount, as then provided by the FDIC. In addition, in the event of a failure of a Network Bank, you may be requested to provide certain personal information for the purposes of processing a claim to seek the associated FDIC insurance. In the event you do not provide such information on a timely basis, it is possible the beneficial funds will not benefit from FDIC insurance. By utilizing the services, you authorize nbkc bank to utilize a Deposit Network Service as described and acknowledge that any associated beneficial principal balance and any accrued interest may or may not benefit from FDIC insurance.

DID SOMETHING GO WRONG WITH YOUR MONEY TRANSMISSION OR SAVINGS ACCOUNT?

We are not a money transmitter. We work with our partners to hold your money, access your money, and transmit your money. We do our best to vet our third-party vendors and to keep an eye on what is happening - but sometimes things go wrong. Let us know right away if you suspect that something has gone wrong with your transaction. Remember, it is your responsibility to ensure that all of the information that you provide to us about your accounts, the amounts of debiting and crediting, your personal information, and any other information associated with you, your accounts, and any transfers is accurate and up-to-date. For any ACH related disputes or questions, there is typically a 60-day dispute window from the day you may have initiated the transaction.

If you have a Question about or Problem with your transaction, your deposit account, or anything else having to do with the money that we are helping you handle, then you must contact hello@nav.it as soon as you are aware of any problem.

Nav.it will assist you in contacting any third parties as well, if necessary.

When you send Nav.it a notice that there has been an issue with your transaction or with the transmitter, you must include the following information:

• Your legal name
• Your phone number and email address
• A description of what happened or what you are experiencing (including the relevant dates and amounts)

NAV.IT – WHAT CAN YOU NOT DO HERE?

Your permission to use the Application is conditioned upon the following Restrictions. Nav.it expects you to respect us and our content. You agree that you will not under any circumstances:

·    copy the Application or cause the Application to be copied;

·    reverse engineer, disassemble, decompile, decode or otherwise attempt to derive or gain access to the source code of the Application;

·   use the Application for any unlawful or unethical purpose or for the promotion of illegal activities;

·   use our content without permission;

·   provide false or inaccurate information when purchasing any coaching or classes;

·   interfere or attempt to interfere with the proper functioning of the Service;

·  make any automated use of the system, or take any action that we deem to impose or to potentially impose an unreasonable or disproportionately large load on our servers or network infrastructure;

·   bypass any robot exclusion headers or other measures we take to restrict access to our site, content, or proprietary information or use any software, technology, or device to scrape, spider, or crawl the Application , app, or harvest or manipulate data;

·   publish, make derivative works of, or link to our content or Application without Nav.it’s explicit permission to do so;

·   share or sell your login or user information, when applicable;

·  write or share incendiary, racist or false statements in the Nav.it community in violation of the Nav.it community rules.

·   receive legal, financial, investment, tax, or medical advice;

·  receive legal, financial, investment, tax, or mental health advice (yes, these last two are almost exactly the same so that it is clear); or

·   share false or misleading information about Nav.it.

CONTENT DISCLAIMER

Opinions, advice, statements, offers, or other information or content made available for your use are from the direct experience of Nav.it and Nav.it’s contributing authors or coaches.  Nav.it, its affiliates, and its customers are not guaranteeing any specific result. Your results can vary depending on your particular life circumstances, your industry, your implementation, and a large array of things.  Nav.it strives to provide impactful and meaningful advice, but there is no substitute for expert advice.  Nav.it, the customers mentioned on the Nav.it Application, and the Nav.it contributors have experienced the stories and results mentioned and we believe you can improve your relationship with money and the way you invest by learning more about yourself and by implementing tips and strategies that we have used.

WHAT ELSE ARE YOU GIVING NAV.IT PERMISSION FOR?

For our compliance purposes and in order to provide the Services to you, you hereby authorize us to, directly or through a third-party, obtain, verify, and record information and documentation that helps us verify your identity and Bank Account information. When you register for the Services and from time to time thereafter, we may require you to provide and/or confirm information and documentation that will allow us to identify you, such as:

• A copy of your government-issued photo ID, such as a passport or driver’s license;
• A copy of a utility bill, bank statement, affidavit, or other bill, dated within three months of our request, with your name and U.S. street address on it; and
• Such other information and documentation that we may require from time to time.

By using the Services and providing User Information to us, you automatically authorize us to obtain, directly or indirectly through our third-party service providers and without any time limit or the requirement to pay any fees, information about you and your Bank Account from the financial institution holding your Bank Account and other third-party websites and databases as necessary to provide the Services to you. For purposes of such authorization, you hereby grant Nav.it and our third-party service providers a limited power of attorney, and you hereby appoint Nav.it and our third-party service providers as your true and lawful attorney-in-fact and agent, with full power of substitution and resubstitution, for you and in your name, place, and stead, in any and all capacities, to access third-party websites, servers, and documents; retrieve information; and use your User Information, all as described above, with the full power and authority to do and perform each and every act and thing requisite and necessary to be done in connection with such activities, as fully to all intents and purposes as you might or could do in person. YOU ACKNOWLEDGE AND AGREE THAT WHEN Nav.it OR OUR THIRD-PARTY SERVICE PROVIDERS ACCESS AND RETRIEVE INFORMATION FROM SUCH THIRD-PARTY WEBSITES, Nav.it AND OUR THIRD-PARTY SERVICE PROVIDERS ARE ACTING AS YOUR AGENT, AND NOT THE AGENT OR ON BEHALF OF THE THIRD PARTY. You agree that other third parties shall be entitled to rely on the foregoing authorization, agency, and power of attorney granted by you. You understand and agree that the Services are not endorsed or sponsored by any third-party account providers accessible through the Services. We make no effort to review information obtained from the financial institution holding your Bank Account and other third-party websites and databases for any purpose, including, but not limited to, accuracy, legality, or non-infringement. As between Nav.it and our third-party service providers, Nav.it owns your confidential User Information.

The information you provide us is subject to our Privacy Policy.

YOUR AUTHORIZATION FOR ACH DEBITS AND CREDITS

By agreeing to these Terms, you authorize Nav.it to electronically debit and credit your designated deposit account on your behalf via ACH and, if ever applicable, to correct erroneous debits and credits via ACH.

You acknowledge that the electronic authorization contained in this Section represents your written authorization for ACH transactions as provided herein and will remain in full force and effect until you notify Nav.it that you wish to revoke this authorization by emailing hello@nav.it. You must notify Nav.it at least Five Business Days before the scheduled debit date of any ACH transaction from your Bank Account in order to cancel this authorization. If we do not receive notice at least Five Business Days before the scheduled debit date, we may attempt, in our sole discretion, to cancel the debit transaction. However, we assume no responsibility for our failure to do so. If you withdraw your electronic authorization contained in this Section, we will close your Nav.it Account and return the balance in your Nav.it Account to your Bank Account as set forth in these Terms, and you will no longer be able to use your Nav.it Account or the Services, except as expressly provided in these Terms. Please note that withdrawal of your electronic authorization contained in this Section will not apply to ACH transactions performed before the withdrawal of your authorization becomes effective.

In addition to any of your other representations and warranties in these Terms, you represent that: (a) you have adequate security on your mobile device or tablet; (b) you are capable of printing, storing, or otherwise saving a copy of this electronic authorization for your records; and (c) the ACH transactions you hereby authorize comply with applicable law.

For purposes of these Terms, "Business Day" means Monday through Friday, excluding federal banking holidays.

ARE THERE ANY FEES FOR USING THE NAV.IT SERVICES?

If you sign up for a premium account, then you may be paying a subscription fee for that premium account.

LINKS TO OTHER SITES AND/OR MATERIALS

While building our own healthy relationship with money, we may have made use of various third-party services. Nav.it may provide you with convenient links to these third-party website(s) (“Third Party Sites”) as well as links to content or applications (“Third Party Services” and “Third Party Content”). These links are provided as a courtesy to You. However, once you leave Nav.it or otherwise access any Third Party Sites, Third Party Services, and Third Party Content or their promotions, Nav.it has no control over and no liability for the materials, information, goods or services available on these Third Party Sites, Third Party Services or Third Party Content.  Such Third-Party Sites, Third Party Services, and Third-Party Content are not investigated, or monitored for appropriateness, or completeness by Nav.it on any regular basis, and Nav.it is not responsible for them, even if you accessed them through the Application.  We are not responsible for them, including the content, accuracy, offensiveness, opinions, reliability, privacy practices or other policies of or contained in the Third-Party Sites, Third Party Services, or Third-Party Content.  Inclusion of, linking to or permitting the use or installation of any Third Party Site, Third Party Services, or Third Party Content does not mean we are in any responsible for them or the results that you may get using them, it’s just an interesting tool or site that Nav.it has come across to be included in your arsenal of tools and resources.

If you decide to leave the Application and access the Third Party Sites or to use or install any Third Party Services, or follow any Third Party Content, you do so at your own risk and you should be aware that our terms and policies no longer govern.  You should review the applicable terms and policies, including privacy and data gathering practices, of any site to which you navigate from the Application or relating to any applications you use or install from the site.

COPYRIGHT COMPLAINTS

If you are a copyright owner or an agent thereof and believe, in good faith, that any materials on this site infringe upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (see 17 U.S.C 512) (“DMCA”) by sending the following information in writing to the Company’s designated copyright agent at support@layroots.com with the subject: “Nav.it Copyright Complaint”:

1. The date of your notification;
2. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
3. A description of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
4. A description of the material that is claimed to be infringing or to be the subject of infringing activity and information sufficient to enable us to locate such work;
5. Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and/or email address;
6. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
7. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

LICENSE GRANT

By submitting any reviews, anecdotes, case studies, or other content to Nav.it, you expressly grant, and you represent and warrant that you have a right to grant, to Nav.it a royalty-free, sublicensable, transferable, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, list information regarding, edit, translate, distribute, publicly perform, publicly display, and make derivative works of all such Content. Nav.it will ask your permission before publishing any identifying information with the Content.

INFORMATION; USER ACCOUNTS AND USER CONTENT

When you create your own personalized account, you may be able to provide us with photos, written content, or other stuff that updates us and the Nav.it community on your travels, your budgets, your goals, etc. (“User Content”). You are solely responsible for the User Content that you post, upload, link to or otherwise make available via the Service.

You agree that we are only acting as a passive platform for your online distribution and publication of your User Content. The Company, however, reserves the right to remove any User Content from the Service at its sole discretion.  We want to keep things Nav.it community friendly when applicable.

We grant you permission to use and access the Service, subject to the following express conditions surrounding User Content. You agree that failure to adhere to any of these conditions constitutes a material breach of these Terms.

By transmitting and submitting any User Content while using the Service, you agree as follows:

·    You are solely responsible for your account and the activity that occurs while signed in to or while using your account;

·    You will not post information that is malicious, libelous, false or inaccurate;

·    You will not post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable and offensive;

·    You retain all ownership rights in your User Content but you are required to grant the following rights to the Site and to users of the Service as set forth more fully under the “License Grant” and “Intellectual Property” provisions below: When you upload or post User Content to the Site or the Service, you grant to the Site a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that Content in connection with the provision of the Service; and you grant to each user of the Service, a worldwide, non-exclusive, royalty-free license to access your User Content through the Service, and to use, reproduce, distribute, prepare derivative works of, display and perform such Content to the extent permitted by the Service and under these Terms of Use;

·    You will not submit content that is copyrighted or subject to third party proprietary rights, including privacy, publicity, trade secret, or others, unless you are the owner of such rights or have the appropriate permission from their rightful owner to specifically submit such content; and

·    You hereby agree that we have the right to determine whether your User Content submissions are appropriate and comply with these Terms of Service, remove any and/or all of your submissions, and terminate your account with or without prior notice.

You understand and agree that any liability, loss or damage that occurs as a result of the use of any User Content that you make available or access through your use of the Service is solely your responsibility. The Site is not responsible for any public display or misuse of your User Content.

USER CONTENT OR ACCOUNTS THAT DO NOT CONFORM WITH NAV.IT STANDARDS

We attempt to monitor User posts and content that may be objectionable or inappropriate or hurtful to the Nav.it Community, but we cannot see or catch everything.  If we happen to remove your content and you believe the removal was improper, please let us know by emailing: hello@nav.it.  At our discretion, we, or technology we employ, may monitor your interactions with the Service or with other Users and delete objectionable content or content deemed inappropriate. Nav.it also reserves the right to disable User accounts for repeated abuses, at our discretion.

If you see any objectionable or inappropriate content by another User, content that does not conform with the standards that we have set out above, then we have created an automatic flagging system within the Application to help you to alert of these users.

YOUR RIGHT TO WITHDRAW YOUR CONSENT.

Your consent to receive Communications electronically will remain in effect until you withdraw it. You may withdraw your consent to receive further Communications electronically at any time by contacting us at hello@nav.it. If you withdraw your consent to receive Communications electronically, we will close your savings account and return the balance to the bank account on file with us. You will also, at that time, no longer be able to use your Savings-Related Services, except as expressly provided in these Terms. Any withdrawal of your consent to receive Communications electronically will be effective only after we have a reasonable period of time to process your request; therefore, you may still receive some communications until we have time to process your request properly and fully.

YOU AGREE TO KEEP YOUR CONTACT INFORMATION CURRENT WITH US.

In order to ensure that we are able to provide Communications to you electronically, you must notify us of any change in your email address and your mobile device number or other text message address by updating your profile on the Website or the Application.  

You also agree to keep your bank account information and related financial information current with us.

COPIES OF COMMUNICATIONS.

You should print and save and/or electronically store a copy of all Communications that we send to you electronically.  This is kind of a good idea anyway with important information in your life.

HARDWARE AND SOFTWARE REQUIREMENTS.

In order to access and retain Communications provided to you electronically, you must have: a valid email address and a device in order to access the application (think: tablet or smart phone). You also will need to allow for the following technical requirements: (1) an Internet connection or the ability to otherwise get online; (2) a Current Version of a standard browser (such as internet explorer, chrome, etc.); (3) a Current Version of a program that accurately reads and displays PDF files, such as Adobe Acrobat Reader version 7 or higher; and (4) a device and an operating system capable of supporting all of the above.

INTELLECTUAL PROPERTY

You acknowledge and agree that we and our licensors retain ownership of all intellectual property rights of any kind related to this Application, including applicable copyrights on written, audio, video, or produced materials; trademarks; trade dress; domain name rights; on the associated Nav.it app, and any content provided in the app, and other proprietary rights, whether identified as proprietary or not, whether implied or expressly stated. Other product and company names that are mentioned on the Service may be trademarks of their respective owners. We reserve all rights that are not expressly granted to You or Others under this Agreement.  Your use of or interaction with this Application does NOT grant you any license or permission to use, copy, make derivative works of, or repost any of the proprietary information on this site, even with attribution, without express, written permission from Nav.it.  

We’re glad you like our stuff and think others may find it useful. However, that does not give you the right to provide it to others or copy it without our permission.

INDEMNITY

You agree to protect, defend, indemnify and hold harmless Nav.it, its officers, directors, employees, owner(s), and parent company(ies) and assigns from and against all claims, demands, and causes of action of every kind and character without limit arising out of Your conduct. Your indemnity obligation includes, but is not limited to, any third-party claim against Nav.it for liability for payments for, damages caused by, or other liability relating to, You.

NO WARRANTY; NO LEADS

Life is a do-it-yourself adventure.  Nav.it does not and cannot promise, guarantee or warrant any success, income, or result. You understand and acknowledge that Nav.it will not at any time provide money or specific investment opportunities to You. Additionally, NAV.IT’S APPLICATION AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NAV.IT MAKES NO REPRESENTATION OR WARRANTY AS TO THE ACCURACY, RELIABILITY, TIMELINESS OR COMPLETENESS OF ANY MATERIAL ON OR ACCESSIBLE THROUGH ANY NAV.IT APPLICATION OR SERVICE. ANY RELIANCE ON OR USE OF SUCH MATERIALS SHALL BE AT YOUR SOLE RISK. NAV.IT MAKES NO REPRESENTATION OR WARRANTY (A) THAT ANY NAV.IT APPLICATION OR SERVICE WILL BE AVAILABLE ON A TIMELY BASIS, OR THAT ACCESS TO ANY NAV.IT WEBSITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE; (B) THAT DEFECTS OR ERRORS WILL BE CORRECTED; OR (C) THAT ANY NAV.IT’S APPLICATION OR THE SITE SERVERS OR NETWORKS THROUGH WHICH ANY NAV.IT’S WEBSITE IS MADE AVAILABLE ARE SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

The Nav.it Application may include inaccuracies, errors and materials that conflict with these Terms. In the event of any conflict between anything posted on any Nav.it Application and these Terms, these Terms shall control.

LIMITATION OF LIABILITY

YOU AGREE THAT IN NO EVENT SHALL NAV.IT’S LIABILITY TO YOU FOR ANY CLAIM OF ANY KIND OR DESCRIPTION EXCEED THE AMOUNT OF WHAT YOU PAID TO NAV.IT PRECEDING THE DATE IN WHICH THE FACTS GIVING RISE TO A CLAIM AGAINST NAV.IT OCCURRED. YOU WAIVE ANY RIGHT TO SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND OR DESCRIPTION WHETHER BASED IN CONTRACT OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THESE TERMS, THE SERVICES, OR CONTENT. NAV.IT IS NOT RESPONSIBLE TO YOU FOR ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF THE GREATER OF $100 OR THE AMOUNT OF YOUR TRANSFER VIA THE SERVICES. NAV.IT IS NOT RESPONSIBLE FOR ANY EVENT BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

FORCE MAJEURE

Nav.it is hosted on servers maintained by other people, much like almost everyone else with a website or application.  We, therefore, cannot be and are not responsible to you for any server outages or downtime, any buffering problems, or any delay, damage, or failure caused by or occasioned by any act of God, act of nature or the elements, terrorism, insurrection, revolution or civil strife, piracy, civil war or hostile action, labor strikes, acts of public enemies, federal or state laws, rules and regulations of any governmental authorities having jurisdiction over the premises, inability to procure material, equipment, or necessary labor in the open market, acute and unusual labor, material, or equipment shortages, or any other causes beyond the control of Nav.it, (Collectively, an “Force Majeure Event”). Delays due to any of the above causes shall not be deemed to be a breach of or failure to perform under this Agreement. Nav.it shall not be required against its will to provide refunds or make any adjustments except in accordance with applicable law.

ASSIGNMENT OF RIGHTS

Nav.it may assign its rights under this Agreement at any time, without notice to You. Your rights arising under this Agreement cannot be assigned by without Nav.it’s or its assigns express written consent, particularly if you have paid for coaching or classes. For example, you “selling” your username and password or otherwise sharing your password all over town.  If we notice tons of IP addresses using the same log in, we expressly reserve the right to cancel or suspend your access to the materials or content on this Application.

INFORMATION; REGISTRATION; USERNAMES AND PASSWORDS

You are fully responsible for all transactions with, and information conveyed to, Nav.it under Your Account, if you have one. You agree to immediately notify Nav.it of any unauthorized use of Your password or Username or any other breach of security related to Your account. You agree that Nav.it is not liable, and You will hold Nav.it harmless, for any loss or damage arising from Your failure to comply with any of the foregoing obligations.

ARBITRATION, GOVERNING LAW, AND ATTORNEYS’ FEES

This Agreement shall be governed, construed, and interpreted in accordance with the laws of the State of Washington without regard to any choice of law provisions.

Litigation sucks, so you agree that in the event of any arbitration or litigation, each Party will each bear its own costs and attorneys’ fees, regardless of who is deemed the prevailing party. The foregoing notwithstanding, if either You or Nav.it commences an action in a court of law or equity and the responding Party successfully moves such court to compel arbitration, the Party who moved for the order compelling arbitration shall be entitled to recover its reasonable costs and attorneys’ fees incurred on the motion to compel from the other Party.

CHANGES TO TERMS

Nav.it reserves the right to change these Terms, in whole or in part, from time to time at Nav.it’s sole and absolute discretion, and to provide You with notice of such change by any reasonable means, including without limitation posting revised Terms.

By Your continued use of Nav.it’s Application, unless You expressly terminate this Agreement in writing to hello@nav.it. You are agreeing to any subsequent changes to the Terms.

SEVERABILITY

If any Term set forth herein is deemed unenforceable under any applicable law, the remaining Terms shall remain in full force and effect and these Terms shall be read, collectively, as if the unenforceable Term(s) were omitted.

WAIVER

No waiver by Nav.it of any breach or default of these Terms will be deemed to be a waiver of any preceding or subsequent breach or default.

HEADING

Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof.

Any notice required to be given to Nav.it under or related to these Terms must be in writing, addressed as follows:
